Beneficial Ownership Filing Agreement

LLCBooster Group LLC

1. Scope of Service

By purchasing the Beneficial Ownership Filing service (“BOI Filing Service”) from LLCBooster Group LLC (“LLCBooster”, “we”, or “us”), you authorize us or our designated partners to file the Beneficial Ownership Information (BOI) Report with FinCEN on behalf of your company (the “Reporting Company”), in accordance with the Corporate Transparency Act (CTA).

These terms supplement the general LLCBooster Terms of Use. Your use of the BOI Filing Service constitutes acceptance of this agreement.

2. Legal Responsibility and Compliance

You understand and agree:

You are solely responsible for compliance with applicable laws, including determining whether your company qualifies as a Reporting Company or is exempt from reporting.
LLCBooster does not provide legal advice and cannot confirm your company’s exemption status.
You remain responsible for ensuring that your information is complete, accurate, and up to date.

Failure to comply with the CTA may result in civil penalties of $500 per day or criminal penalties, including up to $10,000 in fines or imprisonment.

3. Definitions

Reporting Company: Any U.S. or foreign company required to file with FinCEN under the CTA.
Beneficial Owner: A person who owns or controls at least 25% of the entity, or exercises substantial control.
Company Applicant: Individuals involved in forming the entity (applicable for companies formed after January 1, 2024).
FinCEN Identifier: A unique ID assigned by FinCEN that may be used in place of personal data.

4. Your Responsibilities

You agree to:

Provide complete and accurate data regarding your company and its beneficial owners.
Notify LLCBooster of any changes to the BOI within 30 days.
Contact FinCEN directly for amendments after filing is completed.

LLCBooster is not liable for any fines, delays, or enforcement actions resulting from your failure to provide correct or updated information.

5. Payment and Refunds

Payment is due in full at the time of order.

You are responsible for payment even if you later determine your company was exempt from filing.

Refunds are not available after LLCBooster has started preparing the filing.

6. Termination

LLCBooster may cancel the service at any time if:

your information is false or incomplete,
you fail to pay,
or we are unable to contact you.

You may cancel the service only before we begin the preparation of your filing.

If you cancel after filing has begun, you assume full responsibility for completing the report directly with FinCEN.

7. Changes to Service

LLCBooster may modify or update the BOI Filing Service at any time.

All new features will be subject to these terms.

8. Indemnification

You agree to indemnify and hold harmless LLCBooster and its agents from any claims, penalties, or losses arising from:

your failure to comply with the CTA,
inaccurate data you provide,
or your misuse of the BOI Filing Service.

9. Limitation of Liability

LLCBooster’s liability is limited to the amount you paid for the BOI Filing Service.

We are not responsible for:

legal or financial penalties imposed by FinCEN,
delays in FinCEN’s processing,
or the outcome of your filing.
